These Terms of Service ("Terms") govern every commercial sale of goods and related services provided by Product & Supply LLC, doing business as Global Trade Association ("GTA," "we," "our," "us"), to any customer ("Buyer," "you"). By accepting a quotation, purchase-order confirmation, pro-forma invoice, contract, or shipment from GTA, Buyer agrees to these Terms unless a separately signed master agreement states otherwise.
1 Definitions
- Goods = agricultural commodities, raw materials, consumer packaged goods, or any other items described in GTA's quotation.
- Services = global port-to-port sourcing, export & import coordination, quality inspection, documentation, and logistics liaison or advisory work.
- Contract = the binding agreement formed when GTA issues a written order confirmation or pro-forma invoice and Buyer accepts it (email or signature suffices).
2 Quotations & Orders
2.1 Quotations remain valid for the period stated or, if none, seven (7) calendar days.
2.2 Orders are subject to GTA's written acceptance and product availability. GTA may amend or reject an order if regulatory restrictions, sanctions screening, or other compliance issues arise.
2.3 Each Contract incorporates (i) these Terms, (ii) the quotation / pro-forma, and (iii) the agreed Incoterms® 2020 rule (e.g., FOB Santos, CFR Jebel Ali, CPT Mombasa).
3 Price, Payment & Taxes
3.1 Prices are in U.S. dollars unless stated otherwise and exclude VAT/GST, import duties, customs fees, inspection and testing charges, port handling, and local taxes, all borne by Buyer.
Payment Terms
3.2 Unless otherwise stated, payment terms are 30% advance / 70% against presentation of scanned shipping documents. Past-due sums accrue 1.5% interest per month.
3.3 GTA retains a purchase-money security interest in the Goods until paid in full.
4 Compliance Responsibilities
4.1 Export / Import Laws --- Both parties will comply with U.S. Export Administration Regulations (EAR), OFAC sanctions, Brazil's Siscomex/SECEX rules, GCC & destination-country customs and health regulations (e.g., SFDA Saudi, MoCCAE UAE), and any other port or transit-state requirements.
Important Compliance Notice
4.2 Buyer warrants that the Goods will not be re-exported to sanctioned parties, embargoed destinations, or prohibited end-uses (e.g., weapons, nuclear, chemical/biological weapons).
4.3 Buyer is responsible for securing import licences, sanitary permits, label approvals or port-authority clearances in the destination country and must furnish copies to GTA on request.
5 Quality & Inspection
5.1 Unless agreed otherwise, Goods conform to the grade/specs in the Contract and the origin-country regulations (e.g., MAPA grades in Brazil, USDA grades in the U.S.).
5.2 At Buyer's option and cost, a pre-shipment inspection by an internationally recognised surveyor (e.g., SGS, Bureau Veritas) can be arranged at the loading port.
Claims Period
5.3 Claims for shortage or quality must be lodged in writing within five (5) days of discharge at the destination port, backed by an independent surveyor's report; otherwise the shipment is deemed accepted.
6 Delivery, Risk & Title
6.1 Risk transfers and delivery is completed per the chosen Incoterms® 2020 rule.
6.2 Any shipment or arrival dates are estimates; force-majeure delays (see § 9) do not constitute breach.
6.3 Title passes upon GTA's receipt of full payment, unless the Incoterms rule or mandatory law provides for earlier transfer.
7 Warranties & Disclaimers
7.1 GTA warrants it has good title to the Goods and the right to sell them.
Warranty Disclaimer
7.2 EXCEPT AS EXPRESSLY STATED, GTA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8 Limitation of Liability
GTA's aggregate liability for any Contract---whether in contract, tort, or otherwise---shall not exceed the net invoice value of the affected Goods. GTA is not liable for indirect, special, incidental, or consequential losses (e.g., lost profits, business interruption).
9 Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, strikes, port congestion, vessel or container shortages, epidemics, war, embargoes, or government actions. The affected party must notify the other promptly; performance is suspended for the duration of the event.
10 Indemnity
Buyer shall indemnify and hold GTA harmless from any claims, penalties, or losses arising out of Buyer's (i) breach of these Terms, (ii) violation of laws or regulations, or (iii) misuse or unauthorized export/import of the Goods.
11 Confidentiality
Prices, commercial terms, and proprietary documents exchanged under a Contract are confidential and may not be disclosed to third parties except as required by law or with prior written consent.
12 Governing Law & Dispute Resolution
Legal Jurisdiction
These Terms and any Contract are governed by the laws of the State of Michigan, USA. Unresolved disputes shall be submitted to the state or federal courts in Genesee County, Michigan, and each party consents to that exclusive jurisdiction.
13 Amendments
No amendment or waiver is valid unless in a writing signed by both parties. GTA may update these Terms for future Contracts; any change will appear on tradeglobally.net with a new "Last updated" date.

By placing an order or accepting a pro-forma invoice from GTA, Buyer confirms that it has read, understood, and agrees to these Terms of Service.
